The aim of the paper is to give a characterization of \(G\)-ANR's and \(G\)-AR's with finite structure for the case of proper actions of matrix Lie groups. The main theorem states that for any matrix Lie group \(G\), a \(G\)-space \(X\) with a finite structure, which is metrizable by a \(G\)-invariant metric, is a \(G\)-ANR (resp., \(G\)-AR) if and only if for each closed subgroup \(H\) of \(G\), the \(H\)-fixed point set \(X^H\) is an ANR (resp., AR).
