The author studies the two-species chemotaxis system \[ \begin{aligned} &u_t=\Delta u-\nabla\cdot (u\chi_1(w)\nabla w)+\mu_1u(1-u) \\ &v_t=\Delta v-\nabla\cdot (v\chi_2(w)\nabla w)+\mu_2v(1-v) \\ &w_t=d\Delta w+h(u,v,w) \quad \mbox{in $\Omega\times (0,\infty)$} \end{aligned} \] with \[ \left. \frac{\partial}{\partial n}(u,v,w)\right\vert_{\partial\Omega}=0, \quad \left. (u,v,w)\right\vert_{t=0}=(u_0, v_0, w_0) \geq 0, \] where $\Omega\subset \mathbb{R}^N$ is a bounded domain with smooth boundary $\partial\Omega$ and $d\geq 0$, $\mu_i=0$, $i=1,2$, are constants. The nonlinearities $0<\chi_i\in L^1(0,\infty)$, $i=1,2$, and $h$ in $h(0,0,0)\geq 0$ and $h_u, h_v\geq 0$ are sufficiently regular. Structural assumption is made as the existence of $(\gamma, \delta, M, k_1, k_2)>0$ such that $h_w\leq -\gamma$, \[ \begin{aligned} & \vert h(u,v,w)+\delta w\vert \leq M(u+v+1), \quad -\chi_i(w)h(0,0,w)\leq k_i, \ i=1,2 \\ & 2d\chi_i'+\left((d-1)p+\sqrt{(d-1)^2p^2+4dp}\right)\chi_i^2\leq 0, \ i=1,2 \end{aligned} \] for some $p>N$. Having global-in-time existence of uniformly bounded classical solution in the previous work, uniform convergence to the spatially homogeneous stationary state $(1,1,\overline{w})$, $h(1,1,\overline{w})=0$, is derived for $d>0$ in exponential rate, under an explicit smallness condition on $\chi_i(0)$, $i=1,2$. The proof relies on the differential inequality \[ \begin{aligned} & \frac{dE}{dt}\leq -\varepsilon\int_\Omega (u-1)^2+(v-1)^2+(w-\overline{w})^2 \ dx \\ & E=\int_\Omega (u-1-\log u)+\delta_1\frac{\mu_1}{\mu_2}(v-1-\log v)+\frac{\delta_2}{2}(w-\overline{w})^2 \ dx \end{aligned} \] for $0<\delta_i\ll 1$, $i=1,2$. A standard argument implies the uniform convergence to the spatially homogeneous stationary state, and then with exponential rate by a local property of $E$ around it.
