    The authors consider the Sturm-Liouville operator $L$ generated in $L_2(\mathbb{R}_+,H)$ with boundary condition. The article consists of five main sections: Introduction, Preliminaries, Some special solutions, The point spectrum point of $L$, The resolvent of $L$. Firstly, the authors consider the operator $\ell_0$ generated in $L_2(\mathbb{R}_+)$ by the differential expression \[ \ell_0(y)=-y''+q(x)y,\quad 0<x<\infty , \] with the boundary condition \[ y'(0)-hy(0)=0 , \] where $q(x)$ is a complex-valued function and $h\in\mathbb{C}$. The section includes the work of some other authors on this subject. For example, the spectral analysis of $\ell_0$ has been done by Naimark who showed that the continuous spectrum of $\ell_0$ is $[0,\infty)$ and set of eigenvalues is bounded and countable. \textit{B. S. Pavlov} [``The non self-adjoint Schrödinger operator'', Topics Math. Phys. 1, 83--113 (1967), per bibl.la] proved that, if \[ \sup e^{\epsilon\sqrt{x}}|q(x)|< \infty,\quad \epsilon>0, \] holds, then the eigenvalues and spectral singularities are of finite number and each eigenvalue is of finite multiplicity. \textit{V. E. Lyance} [``A differential operator with spectral singularities. I, II''. Am. Math. Soc. Transl. Ser. 60 185--225, 227--283 (1967), per bibl.] studied the role spectral singularities in the spectral expansion in terms of principal functions for the operator $\ell_0$. Also, the discrete spectrum of the non-selfadjoint matrix Sturm-Liouville operator was investigated by many authors. In the present paper, by contrast, the authors study spectral properties of the Sturm-Liouville equation with non-selfadjoint operator coefficient and generalize results to the operator coefficient case. In the third part of article, the authors present some special solutions and the Jost solution and asymptotic relations for fundamental solutions of the equation \[ -Y''+Q(x)Y,\quad 0< x<\infty. \] In the fourth part, $\sigma_{d}(L)$ is defined (Theorem~6). The authors investigate the properties of eigenvalues of $L$ which are the squares of the singular points of the operator-valued function $E(\lambda)$ in the lower open half-plane and the properties of the eigenvalues of $L$ under certain conditions on the potential $Q(X)$. They prove that the limits points of $M_1$ lie on the real line (Theorem~8). Under some conditions, $L$ has a~finite number of eigenvalues, $M_1$ and $\sigma_{d}(L)$ are finite (Theorem~9). In the last part, extra conditions are added to the potential $Q(X)$ for constructing the resolvent of $L$. It is assumed that $Q(X)$ is quasi-selfadjoint, as quasi-selfadjoint potentials are more admissible in quantum mechanics. Then, under this assumption, the resolvent set of $L$, the continuous spectrum of $L$, i.e., $\sigma_{c}(L)=\mathbb{R}_+$, and the result that $L$ has a finite number spectral singularities are obtained.
