This article proves two theorems on differential polynomials. Theorem 1: Suppose that f(z) is transcendental and meromorphic in the complex plane and that \(\psi (z)=\sum^{k}_{i=0}a_ i(z)f^{(i)}z,\) with \(a_ k(z)\neq 0\) and \(T(r,a_ i)=S(r,f)\) for \(i=0,...,k\), is non-constant. Then for any complex \(b\neq 0\) either \[ T(r,f)<3N(r,1/f)+4\bar N(r,1/(\psi -b))+S(r,f) \] or \(\psi\) (z) satisfies the identity \[ (k+1)(\psi ''(z)/\psi '(z))-(k+2)(\psi '(z)/(\psi (z)-b))=(2/k)(a_{k- 1}(z)/a_ k(z))-2(a'\!_ k(z)/a_ k(z)). \] Better results follow in special cases. This result is closely related with an earlier result (due to Hayman) giving an upper bound for T(r,f) in terms of the number of zeros and poles of f and 1-points of \(\psi\), see [\textit{W. K. Hayman}, Meromorphic functions (1964; Zbl 0115.062)]. Theorem 2: Let w(z) be transcendental entire, \(\phi (z):=w^ 2(z)- A+\sum^{n}_{i=0}\alpha w^{(i)}(z)\) where \(\alpha_ 0,...,\alpha_ n\), A are constants and \(\phi\) (z) satisfies \(\bar N(r,1/\phi)=S(r,\phi).\) Then \(w(z)=a+p(z)e^{\alpha z},\) where a,\(\alpha\) are constants with \(\alpha_ 0a+a^ 2-A=0,\) and p(z) is a polynomial. This result is related with an article by \textit{W. Doeringer} [Pac. J. Math. 98, 55-62 (1982; Zbl 0445.30025)].
