A model of magnetorheological (MR) fluid is proposed in the framework of irreversible thermodynamics. A vectorial internal variable is introduced to describe the macroscopic change of the average of the relative position vector of magnetic moments of particles in the fluid, and constitutive equations are derived to describe the MR fluid, the connection between the stress, heat flux, magnetization and internal energy. The constitutive equations are discussed in view of the structures, chain-like and column-like formations of the constitutions, saturation processes and phase transition of the fluid. Shear flows are studied and conclusions are offered for theoretical and practical applications.
