The paper is devoted to polynomial eigenvalue problems of order two. Analysis of the spectral properties of the governing problem leads to a series of conditions which imply the Hamiltonian structure. Since the conditions are formulated in an easy-to-check state, they are sufficient, but not urgently necessary.
