    The general problem of approximating delay-differential equations by systems of ordinary differential equations is considered. The scalar delay equation \[ {{dy}\over{dt}} = -\theta y(t) + g(t-\tau,y(t-\tau)),\quad t>\tau \] and a system of ordinary differential equations of large dimension of the form \[ {{dx}\over{dt}} = A_nx+F(t,x) \] where \(A_n\) and \(F(t,x)\) have special structures, are considered. The main result of the paper is that every solution to above delay-differential equation with continuous initial condition on \([0,\tau]\) can be approximated by solutions to the Cauchy problems for above system of ordinary differential equations with \(n\gg1\).
