    The mathematical properties of a model for the simulation of large eddies in turbulent, electrically conducting, viscous, incompressible flows is investigated. Introducting local averaging operators that commute with differentiations, for the new system -- which pratically reduces to the original one in terms of the parameters locally tending to zero -- the existence and uniqueness theorem for the solutions are proven for the simplest (zeroth) closed MHD model. It is shown that the solutions converge to the solution of the original MHD equations as the averaged radii converge to zero. A bound on the modeling error is derived. It is shown further that the model preserves the properties of the 3D MHD equations, the kinetic energy and the magnetic helicity are conserved, while the cross helicity is approximately conserved and converges to the cross helicity of the MHD equations. The model is proved to preserve the Alfvén waves with the velocity converging to that of the MHD as the two parameters characterising the avergaging radii related to the finest computationally feasible mesh go to zero. Computational tests are performed and they verify the accuracy of the method.
