    Let M be a real \((2m+d)\)-dimensional differentiable manifold and H be a complex vector subbundle of CTM which satisfies: (i) \(H\cap \bar H=\{0\}\) and (ii) H is involutive, i.e., [H,H]\(\subset H\). Then we say that H defines a CR-structure and M is a CR-manifold. The CR-structure H is said to be embeddable if there exists a local embedding \[ \Phi: M\to {\mathbb{C}}^{m+d}\text{ such that }\Phi_*(H)\subset \{\partial /\partial \bar z_ 1,...,\partial /\partial \bar z_{m+d}\} \] where \((z_ 1,...,z_{m+d})\) are the complex coordinates on \({\mathbb{C}}^{m+d}\). The authors prove that H is embeddable if and only if there exists the vector fields \(\{Y_ 1,...,Y_ d\}\) on M such that \(Y_ k\not\in H\oplus \bar H\), \({\mathcal L}_{Y_ k}H\subset H\) and \([Y_ j,Y_ k]=0\), \(1\leq j\), \(k\leq d\), where \({\mathcal L}\) is the Lie derivative operator. In the particular case \(d=1\) the result is due to \textit{H. Jacobowitz} [Pac. J. Math., 127, No.1, 91-101 (1987; Zbl 0583.32059)].
