The authors deal with \textit{D. C. Youla}'s theorem [Can. J. Math, 13, 694--704 (1961; Zbl 0103.25201)]. They give a proof based on the concept of coninvariant subspace. Also they provide a characterization of conjugate-normal matrices as unitarily congruent to real normal matrices.
