    Using the direct Lyapunov method the authors give necessary and sufficient conditions for the asymptotic stability of the zero solution of the differential inclusion in \({\mathbb{R}}^ n\), \(\dot x\in R(x)\), where R(x), for every \(x\in {\mathbb{R}}^ n\), is a polyhedron of the form \[ R(x)=conv\cup^{N}_{k=1}A_ kx \] and \(A_ k\) are Hurwitz matrices. It is shown that the problem of the construction of a piecewise-quadratic Lyapunov function for the above problem can be reduced to the problem of the determination of saddle points for a certain function.
