    A nondegenerate CR-structure on a smooth manifold M is a contact subbundle of TM, of codimension 1 together with a complex structure on it; and the structure is called spherical if moreover the curvature form of the Cartan connection vanishes identically. The main results are: Theorem 1. Let M be a closed spherical CR-manifold of dimension \(2n+1\) \((n>1)\). Suppose that M admits a nontrivial CR-vector field. Then M is isomorphic to one of the following manifolds: (1) a spherical space form \(S^{2n+1}/F,\) (2) a Hopf manifold \((S^ 1\times S^{2n})/F,\) (3) an infranilmanifold \({\mathcal N}/\Gamma,\) (4) a quotient \((S^{2n+1}-\Lambda)/\Gamma\), where \(\Lambda\) is the limit set for the holonomy group \(\Gamma\) and \(\Lambda\) is an uncountable proper subset of \(S^{2n+1},\) (5) a standard Lorentz space form \(\tilde H^{1,2n}/\Gamma.\) Here F denote finite groups and \(\Gamma\) denote discrete groups acting properly discontinuously. Theorem 2. Let M be a closed orientable Seifert manifold. Then M supports an \(S^ 1\)-invariant nondegenerate CR-structure. Recall that a Seifert manifold is a smooth compact manifold with a nontrivial \(S^ 1\)-action. A consequence of Theorem 2 is: Corollary. Let M be a closed orientable 3-manifold. Then M admits an \(S^ 1\)-invariant spherical CR-structure iff M is one of the following manifolds: (i) a spherical space form \(S^ 3/F,\) (ii) Hopf manifolds \(S^ 1\times S^ 2\), \(P^ 3\#P^ 2,\) (iii) a connected sum of lens space L(p,q) and Hopf manifolds, (iv) a Seifert fiber space over an Euclidean orbifold with nonzero Euler number, (v) a Seifert fiber space over a hyperbolic orbifold with nonzero Euler class.
